Terms of Use

1. Acceptance of Terms

By accessing, installing, or using SignalPilot ("the Service"), a tool distributed as a JupyterLab and VSCode extension, you ("User" or "you") agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

SignalPilot is a JupyterLab extension that enables users to generate python code, SQL queries, and analysis from natural language input. The Service may integrate with third-party platforms including, but not limited to, Google, Notion and Slack through their respective APIs and marketplace connectors.

The Service is designed for data professionals including data scientists, analytics engineers, ML engineers, academic researchers, and analytics leads who work with Jupyter notebooks and databases.

3. User Accounts and Registration

To use certain features of the Service, you may be required to create an account or authenticate through third-party services. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access or security breaches
• Accept responsibility for all activities that occur under your account

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to access, modify, or delete data you are not authorized to access
• Attempt to circumvent security features or access controls
• Use the Service to transmit malicious code, viruses, or harmful content
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service in any way that violates applicable laws or regulations
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to store or process sensitive personal data without appropriate safeguards

5. Intellectual Property Rights

The Service, including all content, features, functionality, and underlying technology, is owned by SignalPilot Inc. and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data, queries, or content you create using the Service ("User Content"). By using the Service, you grant SignalPilot Inc. a limited, non-exclusive license to process your User Content solely for the purpose of providing the Service.

6. Third-Party Integrations

The Service may integrate with third-party platforms and services. Your use of such integrations is subject to:

• The terms and conditions of each third-party platform
• The respective privacy policies of those platforms
• Any applicable API terms of service

SignalPilot Inc. is not responsible for the availability, security, or practices of third-party services.

7. Data and Database Access

When using the Service to connect to databases (including but not limited to PostgreSQL, Snowflake, BigQuery, and others):

• You are responsible for ensuring you have proper authorization to access the connected databases
• You must comply with your organization's data governance policies
• You are responsible for the accuracy and appropriateness of any SQL queries generated or executed
• SignalPilot does not store your database credentials beyond what is necessary for authentication

8. Service Availability and Support

We strive to maintain Service availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

Support is available via email, and we commit to responding to support requests within two (2) business days.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF SQL GENERATION.

We do not warrant that the Service will be error-free, secure, or that any defects will be corrected. Users should always review generated SQL queries before execution.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALPILOT INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless SignalPilot Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service will immediately cease.

You may terminate your use of the Service at any time by uninstalling the extension and discontinuing use.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
